Terms and conditions of Voucher Purchase

1. DEFINITIONS AND GENERAL PROVISIONS

1.1 The following terms for the purpose of these T&C have the following meaning (definitions):

1.1.1 Terms and Conditions, T&C - this document regulating the rules of transaction of Voucher purchasers through the website ring.gp, in particular defining the rights and obligations of Voucher purchasers and Green Capital as transaction parties. These Terms and Conditions apply to all purchases made through the above website for cultural, social, sports or other events.

1.1.2 Green Capital - Green Capital Ltd, a company duly incorporated under the laws of St. Vincent and the Grenadines, registered as an International Business Company with registration number 21665 IBC 2013.

1.1.3 Order – the order for Voucher placed by the Consumer.

1.1.4 Order Form - the interactive form hosted by RING GP Ltd. on the System  through which it is possible to order Vouchers;

1.1.5 Voucher - electronic document entitling the Customer to participate in the Event organized by the Organizer, as a rule printed on the Green Capital forms. Voucher is self-printed by the Customer.

1.1.6 Event  - an event organized by the Organizer of a sporting, musical, cultural or other event that takes place with the audience for which tickets are sold by Green Capital.

1.1.7 Organizer - a legal entity, an individual or an organizational unit without the legal personality that executes the Event.

1.1.8 Customer – a person / an entity acquiring Voucher(s) on the terms and conditions specified in the T&C.

1.1.9 System – Green Capital’s Voucher distribution system which is available on the website: ring.gp

1.1.10 Paying Agent – an agent who cooperates with Green Capital and providing and executing online  payment transaction(s).

1.1.11 Agreement – the agreement concluded by the Consumer and the Green Capital by placing the Order by the Consumer and by expressed acceptance by Green Capital


2. GENERAL PROVISIONS

2.1 The Consumer who purchase the Voucher in any form  provided in T&C agrees to the terms and conditions of the transactions specified in the T&C and undertakes to comply with them.

2.2 Green Capital is not the organizer of events which applies to Voucher purchase. Green Capital provides sales and distribution of Voucher(s) for individual Events organized by the Organizer (, on the basis of a separate agreement between Green Capital and the Organizer. Therefore, Green Capital is not responsible in particular for the course of the Event as well as for the compliance of the promotional and information message concerning the Event with the actual course of the Event. The Organizer is solely responsible for the Event. All complaints and requests concerning the organization of the Event should be directed exclusively to the Organizer. Complaints and requests addressed to Green Capital concerning the organization of the Event will be communicated to the Organizer.

2.3 Green Capital is not responsible for the Event, is not responsible for changing the date, time, location or cancellation of the Event. Green Capital will not be liable for any damages suffered by the Customer in connection with the Event for which the Voucher was purchased, and in particular will not be liable for costs incurred by the Customer in connection with the Event, its modification, cancellation or organization. All claims should be directed to the Organizer.

2.4 The Customer is also obliged to follow the provisions of the Organizer's Regulations. Organizer's regulations may be regulated in different ways by the Green Capital regulations. In such a situation, the provisions of the Organizer Regulations should be applied first. The Client should also adhere to the Rules of the facility in which the Event takes place.

2.5 The Organizer of each Event reserves the right to change the program, dates and venue of the event. Before attending  to the Event, we recommend that you check the website ring.gp  or the Organizer's website to see if the event has been canceled or has not been changed.


3. VOUCHER PURCHASE PROCESS

3.1 The Event description is in the selected tab at ring.gp. The Event description contains all relevant terms and conditions that are offered by the Organizer such as: date, validity of the Voucher, type and specification of Event, price, place of Event,  etc.

3.2 The purchase will be made via the Platform provided by Ring GP Ltd  and subject to compliance of both the Green Capital and the Consumer  with the General Terms of Conditions of RING GP Ltd.

3.3  The Customer's implementation of the Voucher purchase procedure according to the algorithm of the individual steps leading to the completion of the transaction shall be at the moment of its completion and confirmation of the selected type of payment and the form of delivery / receipt of the Voucher for specific Event legally effectively concluded the sale of the Voucher. 3. Making a payment by the Customer for the purpose of performing the contract means the conclusion of a distance contract within the meaning of the under Directive 2011/83/EU of the European Parliament and of the Council of October 25, 2011 on consumer rights, amending Council Directive 93/13/EEC and Directive 1999/44/EC of the European Parliament and of the Council and repealing Council Directive 85/577/EEC and Directive 97/7/EC of the European Parliament and of the Council).

3.4 Green Capital  will not be liable for incorrect data entered by the Customer into the Green Capital System. In case of entering a wrong or incomplete mailing address by the Customer, the shipment may not reach the Customer due to Customer's fault. Pay special attention to the correct entry of data in the Green Capital System. If you are uncertain about the correctness of your data, please contact Green Capital. If, as a result of failing to provide the correct data by the Customer, the consignment has not been delivered,  Green Capital will send the shipment again at Customer's request and upon prior reimbursement of the delivery by Customer.

3.5 The Voucher price information is available on the Green Capital website ring.gp and is visible every time in the System during the Voucher purchase process.

3.6 Green Capital sends the Voucher upon receipt of payment confirmation by the payment intermediary within 2 business days via e-mail indicated by the Client or in the selected manner among the available options when ordering.

3.7 The Voucher is valid 2 years from purchase day, unless it concerns specific Event organized by Organizer marked with particular date and name of Event.

3.8 The condition of the purchase is payment for the Voucher during the ordering procedure. Unpaid orders will be canceled by the System within 24 hours. Editing an unpaid order is not possible.

3.9 The Consumer may withdraw from the transaction without giving any reason within 14 days of delivery of the Voucher. In order to exercise this right of withdrawal, you must return All the things you received in connection with the conclusion of the transaction at the following address office@ring.gp The right of withdrawal as provided for in the preceding paragraph of this Section is without prejudice to the statutory right of withdrawal available to the consumers as defined and protected by EU legislation (consumer, under Directive 2011/83/EU of the European Parliament and of the Council of October 25, 2011 on consumer rights, amending Council Directive 93/13/EEC and Directive 1999/44/EC of the European Parliament and of the Council and repealing Council Directive 85/577/EEC and Directive 97/7/EC of the European Parliament and of the Council, is defined to mean any natural person who, in contracts covered by this Directive, is acting for purposes which are outside his trade, business, craft or profession) – the terms for exercise of the same (a so-called, “Model Instruction on Withdrawal”) and a handy form (a so-called, “Model Withdrawal Form”) are appended to these Terms and Conditions (see: Attachment no. 1).

3.9. Green Capital is not responsible for the authenticity of Vouchers purchased outside the Green Capital sales network. Buying second-hand Vouchers entails the risk of buying an invalid Voucher. Individual organizers clearly inform under the terms of the Vouchers sales agreements that their resale at overpriced prices entails the risk of cancellation of the Voucher and deprivation of the right to participate in the Event.

3.10 Contained on the basis of the Terms and Conditions, the Agreement is valid from the day of its conclusion until its execution by the Organizer's realization of the Event, which the Customer acquires.

3.11 Green Capital controls and verifies the process of placing orders and purchasing Vouchers. If it is determined that the order or purchase has been made by means of a vending machine, ie specially designed software for placing orders or purchases, or in any other manner that distorts the normal operation of the system, in particular by restricting other persons the freedom to acquire tickets in the normal manner Green Capital has the right to cancel the order and remove the user account that submitted the order.        


4. COMPLAINT PROCEDURE, PAYBACK

4.1 These Terms and Conditions related to complaints procedure apply to all Vouchers purchased through the Green Capital sales network.

4.2 As mentioned above, Green Capital is not the Organizer, therefore in relation to complaints the provisions of the General Provisions will apply.

4.3 Purchased Vouchers are not exchangeable or refundable. In the event of damage, destruction, loss or theft of Vouchers, you should contact Green Capital to arrange a complaint procedure. 4.4 In the event that the Event is canceled by the Organizer, Green Capital will post such information on its website ring.gp and may send e-mail information to the Customer. Green Capital does not reimburse travel costs, accommodation, or other costs associated with eventual attendance at any Event except for the price of Vouchers for canceled Event.

4.5. The Payback for Vouchers related to canceled Event(s) shall be made on the card or bank account from which the payment was made during the order submission. The payback will be within 14 days of Green Capital receiving a reasoned payback request for the canceled Event.

4.6 Except the cancellation of Events and situations provided for by law, payback for Vouchers will not be provided.

5. PERSONAL DATA, FINAL PROVISIONS

5.1 The Consumer’s personal data entered in the Order Form or otherwise provided in connection with the Order and the Agreement,  in general will be processed for the sole purpose of facilitating the Order and executing the Agreement, , and for any other purpose warranted under the applicable law such as without limitation (i) claiming, pursuing and enforcing outstanding payments or (ii) marketing the Green Capitals own services. The Client accepts and acknowledges that the processing of their personal data as regards: name, geographical and email address, phone number, and other will be entrusted to RING GP Ltd.; nonetheless, the level of protection accorded to any such processing will not be smaller than the one provided for by EU law (currently, in particular, Directive 95/46/EU of the European Parliament and of the Council of October 24, 1995 on the protection of individuals with regard to the processing of personal data and on the free movement of such data).

5.2 Unless mandatory rules of applicable laws provide otherwise, the organization of the Green Capital, provision of the Agreement, and other issues covered by these Terms and Conditions will be governed by the laws obtaining in St. Vincent and the Grenadines, to the exclusion of its conflict of laws rules. Likewise, any and all disputes concerning the agreement will be resolved by the courts having jurisdiction over the Green Capital’s registered office.

5.3 Green Capital reserves the right to change these Terms and Conditions and to post them in the System. The changed Terms and Conditions will apply to any binding Orders and related Agreement submitted or executed upon proper posting of the same.
